i. List the disadvantages of the corporate form.
Write a two page paper regarding the following case study that relates to the course material in Chapters 40-43 on Legal Forms of Business Organization. Read the scenario below and write a paper in Business Format addressing the issues raised. Use terminology and concepts from the appropriate chapters in your summary to demonstrate your knowledge of the course material. This assignment is part of the Written Assignments/Presentations portion of your grade. The points from the assignments in this category are averaged, and the average makes up 20% of your grade. Guidelines:
By “two page paper” I mean a paper that completely fills one page and uses part of the second page (more than a sentence!). It does not have to be two full pages. See the document “Written Assignments Guideline.doc” in the “Syllabus etc” section of Blackboard for information on Business Format, font size, etc.
I want this paper to be in Times New Roman font. 1.5 spaced lines.
In addition to the two pages of content (the content should be at least a 1,000 words), include a cover page and a Works Cited page.
You must cite at least two sources: the website to file for an LLC in the State of Wisconsin, and at least one page in Chapters 40-43 that you reference. Additional citations are encouraged but not required. Be sure to use both in-text citations and a Works Cited page in MLA format. For information on proper MLA format, see the “MLA Guidelines” area in the “Syllabus etc” section of Blackboard.
Proper spelling, grammar, and punctuation are part of your grade!
Scenario:
You work for Pat Anderson, who is the sole proprietor of a bakery called “Cupcakes-Palooza.” Pat has grown the business from nothing, and it is organized as a sole proprietorship because it was easy to form. Because you’ve taken a class in Business Law, you’re aware that Pat’s personal assets are at risk due to the unlimited liability feature of sole proprietorships. You’re worried that if Cupcakes-Palooza gets sued, Pat’s personal assets, including a house, car, and a rare collection of Justin Bieber memorabilia, may be lost. Write a two page paper for Pat that explains the advantages a Limited Liability Corporation (LLC) offers over a sole proprietorship. Explain to Pat what will be required to form an LLC in the State of Wisconsin, and include a link to the specific website that Pat can use to file for an LLC. Hint: you can search wisconsin.gov for the appropriate website for filing for an LLC, but when you cite the website, give the specific website, not just “wisconsin.gov.” Remember that Pat hasn’t taken a Business Law class, so explain the concepts and terms in plain language.
