You need to invent the business story of a fictional company/corporation.
This story must contain well-founded elements related to some of the contents delivered over the course. Namely:
A. Companies/Corporations
– You are operating a business in the form of a partnership and decide to establish a company/corporation.
– Provide a complete an accurate description of the economic sector where you are doing business (players, respective market shares, distinctive features, trends and future evolution, etc).
– Explain the reasons for the above change and, in this context, provide a sound analysis of the pros and cons of operating a business as a company, compared to a partnership.
– Elaborate on the company’s objectives, plans and types of business to be involved in.
– Provide a proper description of the company’s internal structure.
– You have chosen equity finance as the funding instrument for your corporation. Explain why and link your choice with the above company’s objectives/plans/types of business.
B. Director’s duties and liability
– One of the Board members of your corporation has breached their fiduciary duties as a director. Indicate which one/s and explain in a well-reasoned manner how and why the breach occurred.

– Also, indicate whether or not protection mechanisms could be applied to avoid the director’s liability. If the said mechanisms can be applied, specify which one/s. If they cannot be applied, provide reasons for your answer.
C. Fundamentalchanges
– A few years after its incorporation, when the company is a robust business, the Board, with the approval of the shareholders, decided to acquire another company. It is a hostile acquisition.
– Elaborate on a) the target company; b) the reasons for the acquisition; c) the reasons for this transaction to be a hostile operation (why the offer was made directly to the target’s shareholders, without involving the target’s Board).
– The acquisition succeded. Explain the strategy implemented by your company to achieve this happy end.
All of the above elements must be involved in your fictional business story.
