The law where a corporation is domiciled will control voluntary and involuntary corporate dissolutions.
It’s important to follow the statutory procedures to voluntarily dissolve a corporation.
Failure to do so can result in liability extending beyond the dissolution.
Its also important to recognize events that will trigger a involuntary dissolution, principally so those events can be avoided. Once dissolution occurs in either case, a 2nd step (liquidation or a winding up) must also follow prescribed statutory steps.
